In particular, you are solely responsible for your interactions with other users, both on and off the Services. You should exercise caution when communicating with or arranging to meet other users in person. We are not responsible for the conduct of any user on or off the Services.

1. Engagement and Term

1.1

These Terms apply from the time you agree to these Terms, until the date these Terms are terminated in accordance with their Terms (Term).

1.2

Subject to your compliance with these Terms, we will provide you with access to the Services.

1.3

The Services are currently provided free of charge. We reserve the right to introduce paid features or tiers in the future. If we do so, we will provide you with reasonable advance notice and updated Terms before any charges apply. You will not be charged for any feature without your prior agreement.

1.4

We will not be responsible for any other services unless expressly set out in these Terms or on our App.

1.5

If we provide you with access to any new or beta services, you acknowledge that because of the developmental nature of such services, you use them at your own risk and we have no obligation to maintain or provide error corrections. Any new or beta services we provide you with access to are for evaluation purposes only and not for production use, and we may discontinue those services at any time at our sole discretion.

1.6

We may amend these Terms at any time by providing written notice to you. By clicking "I accept" or continuing to use the Services after the notice or 30 days after notification (whichever date is earlier), you agree to the amended Terms. If you do not agree to the amendment, you should cease using the Services.

1.7

Where you engage third parties to operate alongside the Services, those third parties are independent of us and you are responsible for (meaning we will not be liable for) the goods or services they provide, unless we expressly agree otherwise.

2. Age Requirements and Eligibility

2.1

You must be at least 18 years old to create an Account and use the Services. By accepting these Terms, you represent and warrant to us that you are at least 18 years old. In order to meet our requirements under applicable laws, we reserve the right to request proof of age at any time, and we may suspend or terminate your Account if we have reason to believe you are under 18.

2.2

You must not create a profile that misrepresents your age, including by falsely presenting yourself as being under 18.

2.3

You are not authorised to use the Services if:

(a)

you have been convicted of, or have pleaded guilty or no contest to, any offence involving violence, the threat of violence, or sexual misconduct;

(b)

you are required to register as a sex offender on any applicable register; or

(c)

you have previously had your Account removed by us for a breach of these Terms, unless we have given you express written permission to create a new Account.

2.4

If at any time you cease to meet the requirements in this clause, your authorisation to access the Services is automatically revoked, and you must immediately close your Account. We retain the right to close your Account and remove your access to the Services without notice in our sole discretion.

3. No Background or Identity Verification

3.1

We do not conduct criminal background checks or identity verification checks on users of the Services. We make no representations or warranties as to the identity, intentions, conduct, or veracity of any user.

3.2

We reserve the right, and you authorise us, to conduct criminal background checks or other screenings (such as sex offender register searches) at any time using publicly available records, and you agree that any information you provide to us may be used for that purpose.

3.3

You are solely responsible for your interactions with other users, both on and off the Services. You should exercise caution when communicating with or arranging to meet other users in person. We are not responsible for the conduct of any user on or off the Services.

4. Account

4.1

You must sign up for an Account in order to access and use the Services.

4.2

While you have an Account with us, you agree to:

(a)

keep your information up-to-date (and ensure it remains true, accurate and complete);

(b)

keep usernames and passwords secure and confidential, and protect them from misuse or being stolen; and

(c)

notify us if you become aware of, or have reason to suspect, any unauthorised access to your Account or any logins linked to your Account.

4.3

If you close your Account, you will lose access to the Services. You may delete your Account at any time through your Account settings. Upon deletion, your profile will be removed from the Services and will no longer be visible to other users. We will retain your data only to the extent required by law or as set out in our Privacy Policy.

5. Prohibited Content

5.1

You must not upload, post, transmit, or otherwise share any content through the Services (including on your profile, in messages, or in any other feature) that:

(a)

is obscene, pornographic, sexually explicit, or contains nudity;

(b)

is abusive, threatening, harassing, bullying, or intimidating towards any person or group;

(c)

(d)

sexualises, endangers, or exploits children, whether real or fictional, including any visual depiction, text, or other material depicting a minor in a sexual context. For the purposes of this clause, a child is any person under the age of 18. We have a zero-tolerance policy towards child sexual exploitation and abuse material, and we will report any such content to the relevant authorities;

(e)

depicts or includes an unaccompanied minor, or a minor who is not fully clothed;

(f)

promotes, facilitates, or glorifies terrorism, violent extremism, or any terrorist or extremist organisation;

(g)

promotes, facilitates, or glorifies self-harm, suicide, eating disorders, or dangerous activities that could lead to physical or psychological harm;

(h)

promotes, facilitates, or glorifies the use, sale, supply, or distribution of illegal drugs, controlled substances, or the misuse of legal substances;

(i)

is defamatory, libellous, or knowingly false, or constitutes harmful misinformation that is likely to cause serious harm or negatively impact individual or public safety;

(j)

involves or facilitates any scam, fraud, financial deception, or the solicitation of money or items of value from other users, including by faking romantic intentions for financial gain;

(k)

constitutes sexual harassment, including sending unsolicited sexually explicit images or messages (cyberflashing), sharing or threatening to share intimate images without consent, or any other unwanted sexual conduct;

(l)

relates to commercial activities, including advertising, promotions, solicitation of services, or the offer or seeking of paid companionship or transactional romantic or sexual arrangements;

(m)

involves the use of automated tools, bots, scripts, or artificial intelligence to interact with other users or profiles without our prior written consent, or any attempt to scrape or extract data from the Services; or

(n)

is otherwise inconsistent with the intended use of the Services or may harm our reputation.

5.2

Content that violates this clause (Prohibited Content) may result in the immediate suspension or termination of your Account. Where we become aware of content that may constitute a criminal offence, including child sexual abuse material or terrorist content, we will report it to the relevant law enforcement or regulatory authorities.

5.3

We use a combination of automated tools and human reviewers to monitor and enforce these content standards. We reserve the right to remove, restrict, or take action in respect of any content at our sole discretion, without prior notice to you.

6. Reporting and Enforcement

6.1

If you encounter content or behaviour on the Services that you believe violates these Terms, we encourage you to report it to us using the reporting tools available within the App or by contacting us using the contact details at the start of these Terms.

6.2

We may take a range of actions in response to a breach of these Terms, including:

(a)

removing the relevant content;

(b)

issuing a warning to the user responsible;

(c)

temporarily suspending the user's Account; or

(d)

permanently banning the user from the Services.

6.3

Where we are made aware of harmful conduct between users that occurs outside the Services (including on dates, via other messaging platforms, or in person), we may take action as if that conduct had occurred on the Services.

6.4

You must not submit a report about another user's content or behaviour that you know to be false, misleading, or otherwise unfounded. Repeated submission of manifestly unfounded reports may itself result in action being taken against your Account.

6.5

If you believe we have taken action against your content or Account in error, you may contact us using the details at the start of these Terms to request a review of that decision.

7. Licence

7.1

During the Term, we grant you a right to use our basic Services in accordance with these Terms. This right cannot be passed on or transferred to any other person.

7.2

You must not:

(a)

access or use the Services in any way that is improper or breaches any laws, infringes any person's rights (for example, intellectual property rights and privacy rights), or gives rise to any civil or criminal liability;

(b)

interfere with or interrupt the supply of the Services, or any other person’s access to or use of the Services;

(c)

introduce any viruses or other malicious software code into the Services;

(d)

use any unauthorised or modified version of the Services, including for the purpose of building similar or competitive software or for the purpose of obtaining unauthorised access to the Services;

(e)

attempt to access any data or log into any server or account that you are not expressly authorised to access;

(f)

use the Services in any way that involves service bureau use, outsourcing, renting, reselling, sublicensing, concurrent use of a single user login, or time-sharing;

(g)

circumvent user authentication or security of any of our networks, accounts or hosts or those of any third party; or

(h)

access or use the Services to transmit, publish or communicate material that is, defamatory, offensive, abusive, indecent, menacing, harassing or unwanted.

8. TikTok Data Integration

8.1

The Services use data obtained via the TikTok API (TikTok Data) to generate compatibility scores and facilitate matching between users. By creating an Account and linking your TikTok account to the Services, you authorise us to access and process your TikTok Data (including your viewing history and content interactions) for this purpose.

8.2

TikTok Data is accessed on a one-time basis at the point of account creation, subject to any refresh limits or refresh rates set by TikTok from time to time. We do not access your TikTok messages or private communications.

8.3

TikTok Data made available through the Services is provided to you on a personal, non-exclusive, non-sublicensable, non-transferable basis. You must not export, copy, transfer or otherwise use TikTok Data outside of the Services.

8.4

We do not represent or imply that TikTok endorses, sponsors, or is affiliated with the Services. Any reference to TikTok in the Services or these Terms is for descriptive purposes only.

8.5

Your use of the TikTok integration is also subject to TikTok's own Terms of Service and Privacy Policy. We are not responsible for TikTok's processing of your data or for any changes TikTok makes to its API, data access policies, or terms of service that affect the availability or functionality of the Services.

8.6

You may disconnect your TikTok account from the Services at any time through your Account settings. Disconnecting your TikTok account may affect the functionality of certain features of the Services, including compatibility matching.

8.7

Profile filters: Profile filter preferences, including filters based on ethnicity or other characteristics, are set entirely by you as a user preference. We do not make decisions about which users you are shown based on protected characteristics. We are not responsible for how you choose to apply filter preferences, and you agree to use such features in a manner that is consistent with applicable law, including the Equality Act 2010.

9. Availability, Disruption and Downtime

9.1

While we strive to always make the Services available to you, we do not make any promises that these will be available 100% of the time. The Services may be disrupted during certain periods, including, for example, as a result of scheduled or emergency maintenance.

9.2

The Services may interact with, or be reliant on, products or services provided by third parties, such as cloud hosting service providers. To the maximum extent permitted by law, we are not liable for disruptions or downtime caused or contributed to by these third parties.

9.3

We will try to provide you with reasonable notice, where possible, of any disruptions to your access to the Services.

10. Intellectual Property and Data

10.1

We own all intellectual property rights in the Services. This includes how the Services look and function, as well as our copyrighted works, trademarks, inventions, designs and other intellectual property. You agree not to copy or otherwise misuse our intellectual property without our written permission (for example, to reverse engineer or discover the source code of our intellectual property), and you must not alter or remove any confidentiality, copyright or other ownership notice placed on the Services.

10.2

We may use any feedback or suggestions that you give us in any manner which we see fit (for example, to develop new features), and no benefit will be owed to you as a result of any use by us of your feedback or suggestions.

Your Data

10.3

We do not own any of Your Data, but when you enter or upload any of Your Data into the Services, you grant us the right to access, analyse, backup, copy, store, transmit, and otherwise use Your Data for the duration of your use of the Services (and for a reasonable period of time afterwards). We may use Your Data (or disclose it to third party service providers) to:

(a)

supply the Services to you (for example, to enable you to access and use the Services), and otherwise perform our obligations under these Terms;

(b)

diagnose problems with the Services;

(c)

improve, develop and protect the Services;

(d)

send you information we think may be of interest to you based on your marketing preferences;

(e)

perform analytics for the purpose of remedying bugs or issues with the Services; or

(f)

perform our obligations under these Terms (as reasonably required).

10.4

You acknowledge and agree that because of the nature of the internet, the processing and transmission of Your Data by us may occur over various networks.

10.5

You are responsible for (meaning we are not liable for):

(a)

the integrity of Your Data on your systems, networks or any device controlled by you; and

(b)

backing up Your Data.

10.6

When you use the Services, we may create anonymised statistical data from Your Data and usage of the Services (for example, through aggregation). Once anonymised, we own that data and may use it for our own purposes, such as to provide and improve the Services, to develop new services or product offerings, to identify business trends, and for other uses we communicate to you. This may include making such anonymised data publicly available, provided it is not compiled using a sample size small enough to make underlying portions of Your Data identifiable.

10.7

If you do not provide Your Data to us, it may impact your ability to receive the Services.

10.8

This clause 10 will survive the termination or expiry of these Terms.

11. User Content

11.1

You may upload, post, transmit or otherwise share content through the Services, including profile photographs, display names, interests, gender, and other profile information (User Content). For the avoidance of doubt, User Content is distinct from Your Data as defined in clause 10, and the licence in clause 11.2 applies specifically to content intended for display to other users of the Services.

11.2

By making any User Content available through the Services, you grant us a worldwide, non-exclusive, royalty-free licence to use, copy, store, display and make available that User Content to other users of the Services, solely for the purpose of operating and providing the Services. We will not modify your User Content except to the extent reasonably required to display it through the Services.

11.3

You are solely responsible for all User Content that you make available through the Services. You represent and warrant that:

(a)

you are either the sole and exclusive owner of all User Content or you have all rights, licences and consents necessary to grant us the rights set out in these Terms; and

(b)

your User Content does not infringe any third party's intellectual property rights, privacy rights or any applicable law.

11.4

We do not endorse or approve, and are not responsible for, any User Content. We may, at any time and at our sole discretion, remove any User Content without notice to you.

11.5

If you close or delete your Account, your profile and User Content will no longer be visible to other users of the Services. We may retain copies of your User Content as required by law or in accordance with our Privacy Policy.

11.6

This clause 11 will survive the termination or expiry of these Terms.

12. Confidential Information and Personal Data

12.1

While using the Services, you may share confidential information with us, and you may become aware of confidential information about us. You agree not to use our confidential information, and to take reasonable steps to protect our confidential information from being disclosed without our permission, and we agree to do the same for your confidential information. This also means making sure that any employees, contractors, professional advisors or agents of ours or yours only have access to confidential information on a ‘need-to-know basis’ (in other words, the disclosure is absolutely necessary), and that they also agree to not misuse or disclose such confidential information.

12.2

However, either you or we may share confidential information with legal or regulatory authorities if required by law to do so.

12.3

We collect, hold and disclose and use any personal data you provide to us in accordance with our privacy policy, available on the App, and applicable privacy laws.

12.4

You must only disclose personal data to us if you have the right to do so (such as having the individual’s express consent).

12.5

We may need to disclose personal data to third parties, such as our related companies or our service providers (for example, IT and administrative service providers and our professional advisors).

12.6

Where we are required by law to report on our activities, you acknowledge that from time to time we may request certain information from you in order to meet our requirements, and you agree to provide us with such information within the timeframes reasonably requested by us.

12.7

This clause 12 will survive the termination or expiry of these Terms.

13. Liability

13.1

Nothing in these Terms limits any liability which cannot legally be limited, including Liability for:

(a)

death or personal injury caused by negligence; and

(b)

fraud or fraudulent misrepresentation.

13.2

Subject to the clauses above, to the maximum extent permitted by law, we will not be liable for any Liability caused or contributed to by, arising from or in connection with:

(a)

your computing environment (for example, your hardware, software, information technology and telecommunications services and systems);

(b)

any content posted, transmitted, or shared by any user through the Services;

(c)

the conduct, content, or actions of any other user of the Services, whether on or off the Services; or

(d)

any use of the Services by a person or entity other than you.

13.3

Subject to the clauses above, but despite anything else to the contrary in these Terms, to the maximum extent permitted by law:

(a)

if you are not a ‘consumer’ as defined in the Consumer Rights Act 2015, neither Party will be liable for Consequential Loss;

(b)

if you are a ‘consumer’ as defined in the Consumer Rights Act 2015, and you use the Services for any commercial, business or re-sale purpose, we will have no Liability to you for any loss of profit, loss of business, loss of data, business interruption, or loss of business opportunity;

(c)

a Party’s liability for any Liability under these Terms will be reduced proportionately to the extent the relevant Liability was caused or contributed to by the acts or omissions of the other Party (or any of its Personnel), including any failure by that other Party to mitigate its loss; and

(d)

as the Services are currently provided free of charge, our aggregate liability to you for any Liability arising from or in connection with these Terms will be limited to £1,000.

13.4

This clause 13 will survive the termination or expiry of these Terms.

14. Notice Regarding Apple

14.1

To the extent that you are using or accessing the Services on an iOS device through a mobile application from the Apple App Store, you further acknowledge and agree to the terms of this clause. You acknowledge that these Terms are between you and us only, not with Apple Inc. (Apple), and Apple is not responsible for the Services and any content available on the Services.

14.2

Apple has no obligation to furnish you with any maintenance and support services with respect to the Services.

14.3

If our mobile application fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the mobile application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the mobile application and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be our responsibility.

14.4

Apple is not responsible for addressing any claims by you or any third party relating to our mobile application or your use of our mobile application, including but not limited to: (1) product liability claims; (2) any claim that our mobile application fails to conform to any applicable legal or regulatory requirement; and (3) claims arising under consumer protection or similar legislation.

14.5

Apple is not responsible for the investigation, defence, settlement and discharge of any third-party claim that our mobile application infringes that third party’s intellectual property rights.

14.6

You agree to comply with any applicable third-party terms when using our mobile application.

14.7

Apple and Apple subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary of these Terms.

14.8

You hereby represent and warrant that: (1) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (2) you are not listed on any U.S. Government list of prohibited or restricted parties.

15. Suspension and Termination

Suspension

15.1

We may suspend your access to the Services where we reasonably believe there has been any unauthorised access to or use of the Services (such as the unauthorised sharing of login details for the Services). If we suspend your access to the Services, we will let you know within a reasonable time of doing so, and we will work with you to resolve the matter, or if it cannot be resolved, then we may terminate these Terms and your access to the Services will end.

Termination

15.2

We may terminate these Terms (meaning you will lose access to the Services) if:

(a)

you breach these Terms and do not remedy that breach within 14 days of us notifying you of that breach;

(b)

you breach these Terms and that breach cannot be remedied;

(c)

you experience an insolvency event (including bankruptcy, receivership, administration, liquidation, or entering into creditors’ schemes of arrangement).

15.3

Upon termination of these Terms, we will retain Your Data (including copies) as required by law or regulatory requirements.

15.4

Termination of these Terms will not affect any other rights or liabilities that we or you may have.

15.5

This clause 15 will survive the termination or expiry of these Terms.

16. General

16.1

Assignment: You may not transfer or assign these Terms (including any benefits or obligations you have under these Terms) to any third party without our prior written consent. We may assign or transfer these Terms to a third party, or transfer any debt owed by you to us to a debt collector or other third party.

16.2

Complaints and Feedback: We are always looking to improve our services and products. If you have any feedback or a complaint, please notify us on our contact details set out in these Terms and we will take reasonable steps to address any concerns you have.

16.3

Contracts (Rights of Third Parties) Act 1999: Notwithstanding any other provision of these Terms, nothing in these Terms confers or is intended to confer any right to enforce any of its terms on any person who is not a party to it.

16.4

Disputes: A Party may not commence court proceedings relating to any dispute arising from, or in connection with, these Terms (Dispute) without first meeting a representative of the other Party within 14 days of notifying that other Party of the Dispute. If the Parties cannot resolve the Dispute at that meeting, either Party may refer the Dispute to mediation administered by The Centre for Effective Dispute Resolution.

16.5

Events Outside Our Control: We will not be liable for any delay or failure to perform our obligations (including the Services), if such delay or failure is caused or contributed to by an event or circumstance beyond our reasonable control.

16.6

Governing law: These Terms are governed by the laws of England and Wales and both parties submit to the exclusive jurisdiction of the courts operating in England and Wales.

16.7

Illegal Requests: We reserve the right to refuse any request for or in relation to the Services that we deem inappropriate, unethical, unreasonable, illegal or otherwise non-compliant with these Terms.

16.8

Nature of Legal Relationship: These Terms do not create, and should not be interpreted so as to create, a partnership, joint venture, employment or agency relationship between us and you.

16.9

Notices: Any notice you send to us must be sent to the email set out at the beginning of these Terms. Any notice we send to you will be sent to the email address registered against your Account.
